Senior Manager (Commercial Contracts)

General Overview

As a key member of the Business Development & Commercial Team, the incumbent will be responsible to actively lead and support the winning and delivery of profitable business and provide commercial support and governance to the business by ensuring the company contracts with customers on terms that protect the business.

 

This will include contract extensions, and new Term-Sheets, Heads of Agreements and Terminal User Agreements with prospective and existing customers of the terminal to drive the growth of various business and services including LNG trucking, bunkering, storage & reload and new energy businesses.

 

Roles & Responsibilities

The incumbent shall be responsible for, but not limited to, the following scope of tasks and duties:

  • Provide commercial support to business including Structuring and Drafting of Key Contracts and reviewing of contracts with Legal team:
  1. Support commercial negotiations ensuring commercial integrity with specific responsibility for responding to the commercial aspects, including customer terms and conditions and pricing.
  2. Ensure the identification of commercial risk, develop and implement effective mitigation strategies and actions and report the risk and progress with mitigation strategies internally.
  3. Support negotiations with customers with respect to commercially advantageous terms and conditions, price offerings, payment terms, liability regime etc.
  4. The drafting and review of key agreements along with Legal team support such as LOIs/ MOUs, Term-Sheets/ Heads of Agreements, Terminal User Agreements, Collaboration Agreements / Joint Venture Agreements.
  5. Effective day-to-day management of contracts, and provide advice with respect to contractual obligations, liabilities and rights and dispute resolution.
  6. Effective Contract Management during the tenure of contract
  7. Ensure contract compliance with all group and policies, processes and procedures
  •  Manage other activities that have commercial / value implications for the company from time to time.

 

Work Experiences

  • Proven experience within a Commercial and/or Contract orientated role.
  • Deep understanding of contracts, contractual language, and contract governance.
  • Excellent communication skills, both written and spoken
  • Excellent understanding of business operations and financial analytics
  • Excellent negotiation, closing and follow-up skills.
  • Background in tank storage, energy related industry such as power, LNG & gas or shipping industry with certain paralegal/legal and/or commercial experience will be preferred.

 

Education Requirements

  • The incumbent should possess a Degree with at least 10 years of relevant experience.
